(THE “LEGAL NOTICE”)

Acceptance

This Legal Notice sets out the terms and conditions which govern your access to and use of the website located at www.birchcliffenergy.com (the "Site"), which is owned by Birchcliff Energy Ltd. (“Birchcliff"). Any access to the Site and any use of any of the content displayed on or accessible through the Site, including without limitation, information, content, documents, reports, presentations, reports, text, charts, photographs, images, graphics, web pages, user interfaces, applications, computer software or code contained therein or accessible thereto (collectively, the “Content”): (a) is subject to the terms and conditions of this Legal Notice; (b) is conditional upon your acceptance to this Legal Notice; and (c) evidences your acceptance and approval of the terms and conditions contained herein. If you do not agree with this Legal Notice, you should leave the Site immediately.

Amendment

Birchcliff may modify or replace this Legal Notice at any time without notice. Accordingly, you acknowledge and agree that it is your responsibility to review this Legal Notice each time you access the Site or use any of its Content as, per the above, such access and/or use constitutes acceptance of this Legal Notice in its current form, irrespective of whether you have read its latest terms and conditions.

Limited Licence and Prohibited Uses

Provided you are in compliance with the terms of this Legal Notice, Birchcliff grants you a personal, non-exclusive, non-transferable, temporary and revocable licence to access, read, download, print and/or use the Site and the Content for your own personal and non-commercial use. No other use of the Site or the Content is authorized and Birchcliff may revoke this licence at any time at its discretion. You acknowledge and agree that this licence granted herein does not give you the right or permission to modify, reproduce, publish, disseminate, transmit, sell, create derivative works from or in any way exploit the Site or any of the Content.

You agree not to use the Site or the Content: (a) in any way that violates any applicable federal, provincial, local or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from Canada or other countries); (b) to transmit, or procure the sending of, any advertising or promotional material, including any “junk mail”, “chain letter” or “spam” or any other similar solicitation; (c) to impersonate or attempt to impersonate Birchcliff, a Birchcliff employee or any other person or entity (including, without limitation, by using e-mail addresses or screen names associated with any of the foregoing); or (d) to engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Site, or which, as determined by us, may harm Birchcliff or users of the Site or expose them to liability.

Communication via Site

The internet is not a fully secure medium and as such, is subject to potential interception, loss, corruption or alteration of communication. You acknowledge and agree that Birchcliff is not liable for any damages resulting from the transmission, interception or corruption of any communications received or sent via the Site. Further, any information you provide or transmit via the Site is provided with your full acknowledgement and understanding that: (a) such information shall not be considered private, confidential or proprietary by Birchcliff and that Birchcliff shall be free to use such information as it so chooses or as required by law; and (b) you assign all copyright in and to such information to Birchcliff and you waive any and all moral rights therein.

Exclusion of Liability

You acknowledge and agree that in no event shall Birchcliff be liable in any manner whatsoever for any losses, claims, costs or damages of any kind (including, without limitation, direct or indirect, special, incidental or consequential damages and loss of profits, opportunities or information) arising in connection with the Site, any of the Content or any linked website, or for the use thereof or inability to use the same (whether as a result of interruption, defect, delay in operation or transmission, computer virus or line or system failure or otherwise), even if Birchcliff has been advised of the possibility of such losses, claims, costs or damages.

Indemnity

You agree at all times to indemnify, defend and hold Birchcliff harmless against any and all liabilities, losses, claims, costs (including legal fees and disbursements) and damages which are suffered, sustained, paid or incurred by Birchcliff in respect of: (a) any information you provide or transmit via the Site or which you otherwise provide to Birchcliff; and (b) your access to or use or misuse of the Site or any of the Content (including, without limitation, intellectual property infringement claims).

Jurisdiction

Birchcliff and the Site (excluding linked websites or content) are based in Alberta, Canada. Accordingly, you acknowledge and agree that your access to and use of the Site and the Content in accordance with the terms of this Legal Notice is governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein. The Legal Notice shall be treated in all respects as an Alberta contract without any reference to the principles of conflicts of law. In the event of a dispute, you irrevocably attorn and submit to the exclusive jurisdiction of the courts of the Province of Alberta and the courts of appeal therefrom. If any part of this Legal Notice is held to be invalid or unenforceable, the balance of this Legal Notice shall continue to have full force and effect.

Barrel of Oil (“Boe”) Equivalent Conversions

Boe amounts have been calculated by using the conversion ratio of six thousand cubic feet (“Mcf”) of natural gas to one barrel (“bbl”) of oil. Boe amounts may be misleading, particularly if used in isolation. A boe conversion ratio of 6 Mcf: 1 bbl is based on an energy equivalency conversion method primarily applicable at the burner tip and does not represent a value equivalency at the wellhead. Given that the value ratio based on the current price of crude oil as compared to natural gas is significantly different from the energy equivalency of 6:1, utilizing a conversion on a 6:1 basis may be misleading as an indication of value.

Oil and Gas Metrics

The Site may contain metrics commonly used in the oil and natural gas industry. Such oil and gas metrics do not have any standardized meanings or standard methods of calculation and therefore may not be comparable to similar measures presented by other companies. As such, they should not be used to make comparisons. Management uses oil and gas metrics for its own performance measurements and to provide investors with measures to compare Birchcliff’s performance over time; however, such measures are not reliable indicators of Birchcliff’s future performance, which may not compare to Birchcliff’s performance in previous periods, and therefore should not be unduly relied upon.

Non-GAAP and Other Financial Measures

The Site may use various “non-GAAP financial measures”, “non-GAAP ratios” and “capital management measures” as such terms are defined in National Instrument 52-112 – Non-GAAP and Other Financial Measures Disclosure. Non-GAAP financial measures and non-GAAP ratios are not standardized financial measures under Canadian generally accepted accounting principles (“GAAP”) and might not be comparable to similar financial measures disclosed by other issuers.
